This Music Submission Legal Agreement (“Agreement”) is established between the individual or entity submitting music content (“Submittee”) and Radio Marbella, operating under the domain Marbsradio.com (“Station”). By engaging in the music submission process, the Submittee agrees to the following provisions designed to fully safeguard Radio Marbella against any form of liability, including but not limited to fees, royalties, or copyright infringement claims. The reason for these terms is that Radio Marbella performs extensive labor and provides lifetime promotion for the benefit of the Submittee and all involved parties without requesting any payment, thereby necessitating legal protections to ensure the Station can continue offering these services indefinitely without incurring liabilities.
This introduction explains the purpose of the agreement, highlighting Radio Marbella’s commitment to promoting music at no cost to the submitter, while also emphasizing the need for legal protection to sustain this model.
The Submittee grants the Station a non-exclusive, worldwide, royalty-free license to:
This clause allows Radio Marbella to use the submitted music in various ways. It clarifies that the station can play the music and share it on social media, but only if the submitter agrees to this during the submission process.
The Submittee asserts that:
Here, the submitter confirms they have the right to share the music and that doing so doesn’t violate anyone else’s rights. It also reassures submitters that they keep their copyright ownership even after submission.
The Submittee agrees to indemnify and hold the Station harmless against any claims, losses, liabilities, or expenses arising from the Content’s use as authorized under this Agreement, including any associated with copyright infringement, fees, or royalties.
Furthermore, the Station reserves the right to contest any Content-ID claims or similar assertions made on platforms such as YouTube regarding the Content’s use, ensuring uninterrupted use as per the granted license.
This section makes it clear that if someone sues Radio Marbella over the music, the submitter will need to take responsibility. It also gives the station the right to fight claims that could stop it from using the music as agreed.
This Agreement explicitly prohibits the Station from distributing the authored work outside the scope defined herein, particularly in ways not expressly selected by the Submittee through the submission form.
The station can’t use the music in ways not agreed upon by the submitter, ensuring that the submitter’s preferences are respected.
The Station is not obligated to utilize any submitted Content and reserves the right to discontinue its use at its discretion without prior notice or any form of liability to the Submittee.
Radio Marbella isn’t required to use the music and can stop using it at any time, giving the station flexibility.
This document embodies the full agreement between the Station and the Submittee regarding the submission and use of Content, superseding all prior discussions or agreements.
Everything that Radio Marbella and the submitter have agreed to about the music is contained in this document, replacing any previous conversations or agreements.
The terms of this Agreement shall be governed by the laws of the jurisdiction in which the Station operates, without regard to conflict of law principles.
Legal issues related to this agreement will be handled according to the laws of the area where Radio Marbella is based.
Submission of Content to the Station constitutes the Submittee’s agreement to these terms, affirming their understanding and consent to abide by this Agreement’s conditions.
By submitting music, the submitter agrees to all these rules, showing they understand and accept the agreement.
This Agreement is provided for an indefinite period, ensuring that the terms set herein continue to apply for as long as Radio Marbella uses the submitted Content, thereby offering enduring protection and rights to both parties involved.
This final note clarifies that the agreement doesn’t have an end date, meaning it keeps protecting both Radio Marbella and the submitter for as long as the station uses the music.
